These Terms & Conditions (“Terms”) govern your access to and use of Co Thinkers’ website, digital platforms, consulting services, marketing services, automation systems, and related offerings (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms.

1) Scope of Services

Co Thinkers provides strategic marketing, performance advertising, SEO, SEM, content marketing, influencer campaigns, automation systems, funnel development, growth consulting, and related digital services.

Our Services are primarily business-to-business (B2B) in nature unless otherwise agreed in writing.

Specific deliverables, timelines, and pricing are defined in separate proposals, statements of work (SOW), or service agreements.

2) Eligibility

You must:

Be at least 18 years old
Have authority to represent a business entity (if acting on behalf of one)
Provide accurate and complete information

We reserve the right to refuse service at our discretion.

3) Client Responsibilities

You agree to:

Provide timely access to required accounts, platforms, and materials
Ensure you own or have lawful rights to all content shared with us
Comply with all applicable advertising, marketing, and platform policies
Not use our Services for unlawful, fraudulent, or misleading activities

You remain responsible for the legality of your products, services, claims, and regulatory compliance.

4) Fees and Payment

Service fees are defined in signed proposals or invoices.

Payments must be made as per agreed timelines
Late payments may result in service suspension
Advertising budgets are separate from agency service fees
Fees are non-refundable unless otherwise agreed in writing

Taxes, if applicable, are the responsibility of the client unless stated otherwise.

5) Intellectual Property

A) Client Materials

You retain ownership of all materials and data provided to Co Thinkers.

B) Deliverables

Upon full payment, ownership of final approved deliverables transfers to you unless otherwise stated in writing.

C) Agency Property

Co Thinkers retains ownership of proprietary tools, methodologies, frameworks, templates, strategies, and internal systems used to deliver Services.

6) Performance Disclaimer

Marketing results depend on multiple factors including:

Market conditions
Competition
Platform algorithm changes
Audience behavior

We do not guarantee specific revenue, rankings, lead volumes, or performance outcomes unless expressly agreed in writing.

7) Confidentiality

Both parties agree to protect confidential information shared during engagement and not disclose it to third parties without consent, except where required by law.

8) Data Protection

We process personal data in accordance with our Privacy Policy.

Where applicable, we may enter into Data Processing Agreements (DPAs) with business clients to comply with applicable data protection laws.

9) Limitation of Liability

To the maximum extent permitted by law:

Co Thinkers shall not be liable for indirect, incidental, consequential, or special damages
Our total liability shall not exceed the total service fees paid in the three (3) months preceding the claim

10) Indemnification

You agree to indemnify and hold harmless Co Thinkers, its directors, employees, and affiliates from claims arising out of:

Your breach of these Terms
Misuse of the Services
Violation of laws or third-party rights

11) Termination

Either party may terminate services in accordance with written agreements.

Upon termination:

Outstanding payments remain due
Access to systems may be revoked
Data may be exported upon request, subject to legal and technical limitations

12) Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh, India.

13) Changes to Terms

We may update these Terms from time to time. The “Last Updated” date will reflect revisions.

Continued use of our Services constitutes acceptance of the revised Terms.
